TL; DR

Local legal entity (LocalCo) gives access to local rails and aquairing, which usually increases AR and reduces Cost/GGR, accelerates TtW/TtR, but increases walnut/compliance and management complexity. Model choice: Merchant of Record (MoR) locally, agent/distributor or cross-border via global PSP. The decision is made according to the matrix: turnover volume × regulatory requirements × economy (fee/FX/taxes) × risk.

Business effect:
  • AR↑: local aquaders know BIN/issuers better, the share of soft-decline is lower.
  • Cost/GGR↓: local circuit/interbank fees, absence/reduction of FX.
  • TtW/TtR↓: local RTP/instant and prioritization in APM.
  • Coverage↑: access to domestic-only methods (e.g. local wallets/vouchers/A2A).
  • Disputes/Risk: local chargeback/dispute frameworks, more predictable timelines.

3) Requirements for LocalCo (KYB/banks/PSP)

Legal/Corporate:
  • Charter, register of directors, UBO (> 25%), substance (address, secretariat, minimum local functions).
  • Licenses/notifications, if required (sometimes gaming/financial specifics).
Banks/Aqua/PSP will request:
  • KYB package: statutory, UBO KYC (passport/PoA), contracts, site/offer/ToS, privacy, AML/KYC policies.
  • Business description: MCC, payment/withdrawal flow, chargeback policy, bonus policy.
  • Finance: reporting/forecasts, turnovers, sources of funds.
  • Risks/sanctions/AML: lists, sanctions compliance, PEP.
Operational readiness:
  • Local accounts: receiving (cards/AWS), payout (RTP/SEPA/ACH), individual tax/salary.
  • Integration: API/SDK providers, webhook hub, idempotency.
  • Reporting: VAT/GST, statistics, gaming reports (if applicable).

4) Rail access: What 'opens up' with LocalCo

Cards (domestic acquiring): local acquirers, domestic scheme rates, above AR.
A2A/Open Banking: Banks require a local MoR/account for "push/pull" and returns.
RTP/Instant: local instant payments/payments (SCT Inst, RTP, Faster Payments) - you need a local account and sometimes MoR.
SEPA/ACH/SWIFT (settlement): local BIC/IBAN simplifies offsets, accelerates D + N.
Wallet/Super-apps: local registration of merchant and MoR is often required.
Vouchers: a contract with a local distributor of vouchers → MoR locally.
Crypto on/off-ramp: local fiat partners and reporting, AML/SoF/SoW.

5) Economy: Where we win/lose

Winnings:
  • Fee: − (10-100) bps to acquiring due to domestic interchange/provider discounts.
  • FX: cross-border conversions disappear, slippage decreases.
  • AR: uplift 2-8 pp on BIN × issuer segments, less soft-decline.
  • TtW/TtR: instantaneous local rails instead of T + 1/T + N.
Costs:
  • CAPEX/OPEX: registration, lawyers, accounting, audit.
  • Tax: BAT/GST, corporation tax, withholding on royalties/services.

6) Taxes and intercompany (simplified scheme)

Usually:
  • LocalCo (MoR): Recognizes player revenue, pays VAT/GST/Corp. tax.
  • HQ/PlatformCo: Exposes service/tech fee/royalty LocalCo to repatriate profits.
  • Transfer Pricing: arm's length margin policy; risk of tax adjustments.
  • PE risk: if there is no LocalCo but there is activity, the tax office may recognise permanent representation.
Cash flows:
  • Player → LocalCo → (after costs) → HQ payments (services/royalties) → HQ profit.
  • Withholding is possible on royalties/services - check DTT (double taxation agreements).

7) Treasury: Liquidity and "trapped cash"

Pools - Separate inflow and outflow by account.
Prefund: keep rolling p95 TtW + 20% buffer on instant rails.
Sweeps: regular D + N transfers to master accounts; accounting for currency days.
FX policy: repatriation hedging; use of local valyuta→HQ.
StressRes: delay reserve settlement/provider block.

8) Compliance: mandatory policies

AML/KYC/KYB: local player/partner identification requirements.
